Terms of Service

These terms are the agreement between you, the merchant installing the app, and The Prompted, which builds and operates it. Installing Kept means you accept them. They are meant to be short and readable, and they are meant to be at least as protective of you as Shopify's own API License and Terms of Use.

1. The service

Kept is a Shopify app that reads your store's orders, products and inventory costs, optionally reads spend from advertising accounts and charges from fulfilment providers you connect, and presents contribution margin and related analytics back to you. Access is read-only. Kept does not modify your store.

The privacy policy forms part of these terms and describes exactly what we access, why, and how long we keep it.

2. Your responsibilities

• You need a Shopify store and the authority to install apps on it.
• The cost figures you enter are yours. Kept computes on what you give it, so a wrong cost produces a wrong margin.
• Do not attempt to access another merchant's data, reverse the service, resell access to it, or use it to build a competing product.
• If you use the Kept API, keep your token secret. Activity under your token is your responsibility.

3. Subscription and billing

Kept is a paid subscription billed through Shopify, so charges appear on your Shopify invoice and are collected by Shopify, not by us. We never see or store your card details.

• Three plans, priced by monthly order volume only: $29 up to 500 orders, $59 up to 2,000, $99 unlimited. Every feature is included on every plan.
• No per-order overage fees. Growing past a plan's volume moves you to the next plan; nothing is switched off in the meantime.
• A 14 day free trial is available once per store.
• Annual billing is offered at ten times the monthly price, which is two months free.
• Approving a Shopify charge is what starts a paid subscription. If a plan change requires a new price, Shopify will ask you to approve it and nothing changes until you do.
• A discount code, where one applies to your store, reduces the amount charged for as long as it remains valid. When it lapses, the standard price for your plan resumes.
• Charges already made are not refunded on cancellation, except where required by law or where we got something wrong, in which case ask us and we will make it right.

4. Availability

We aim to keep Kept running continuously and to sync hourly, but we do not offer a formal uptime guarantee, and syncing depends on Shopify's and the ad platforms' own APIs being available. Planned maintenance that would interrupt the service will be announced in the app.

5. No warranty, and what Kept is not

Kept is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

Kept is a management reporting tool. It is not accounting, tax, legal or investment advice, it is not a book of record, and it is not a substitute for your accountant or your bookkeeping. Contribution margin excludes fixed costs by design, so it is not net profit. Figures derived from estimates are marked as estimates in the app, and you should treat them as such. Do not file a tax return from a Kept screen.

6. Limit of liability

To the maximum extent the law allows, The Prompted's total liability arising out of or relating to Kept, on any theory of liability, is limited to the fees you actually paid for Kept in the twelve months before the claim arose.

Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, lost revenue or lost data, even if advised of the possibility. Nothing here limits liability that cannot be limited by law, including for fraud or wilful misconduct.

7. Term and termination

• You can cancel at any time by cancelling the subscription or uninstalling the app from your Shopify admin. No notice period, no exit fee.
• Uninstalling stops the sync immediately. We delete all data we hold for your store within 30 days of uninstall, as set out in the privacy policy. Reinstalling inside that window keeps your history and cost work.
• We may suspend or end access if these terms are seriously or repeatedly breached, or if we are required to by Shopify or by law. Except in an emergency we will tell you first and give you a chance to fix it.
• We may discontinue Kept. If we do, we will give at least 30 days notice, stop charging, and provide an export of your data.

8. Intellectual property

We own Kept, its software, design and documentation. You own your store data and everything you enter, and nothing here transfers any right in it to us beyond what the privacy policy describes as necessary to run the service for you.

9. Changes to these terms

We may update these terms. Material changes will be announced in the app before they take effect, and the effective date above will change. Continuing to use Kept after that date means the new terms apply. If you do not accept them, uninstall.

10. Shopify's terms

Where these terms conflict with Shopify's API License and Terms of Use, its Protected Customer Data requirements, or any Shopify term that protects you as a merchant, Shopify's terms prevail.

11. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, and the courts of Ontario have exclusive jurisdiction over any dispute, without prejudice to any right you have to bring a claim in your own place of residence where the law gives you that right.
